1. Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of the website at maraboumidstream.com (the "Site"). The Site is presented under the Marabou Midstream brand. The Site's legal operator is Marabou Midstream LLC. In these Terms, "Marabou Midstream," "we," "us," and "our" refer to Marabou Midstream LLC. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. The Site is informational only

The Site describes Marabou Midstream's business and service areas in general terms. Nothing on the Site constitutes:

• an offer to sell, purchase, transport, gather, process, or market any commodity or service, or a solicitation of such an offer;
• a commitment, representation, or warranty that any service is or will be available to any person, in any location, or on any terms;
• commercial, engineering, legal, regulatory, tax, or investment advice.

Any services Marabou Midstream provides are provided solely under separate, definitive written agreements negotiated and executed between the parties. These Terms create no service relationship of any kind.

• Submitting an inquiry does not create any agreement, obligation, or commercial relationship, and does not obligate Marabou Midstream to respond or to provide any service.
• Do not submit information you consider confidential or proprietary unless and until a written confidentiality agreement is in place between you and Marabou Midstream.
• Unsolicited submissions are not received in confidence.
• You represent that information you submit is accurate to your knowledge and that you are authorized to provide it.

Marabou Midstream LLC owns the Site content and the Marabou Midstream name and logo, except to the extent any third-party material is used under applicable permission or license. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Montgomery County, Texas, and you consent to their jurisdiction.

11. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy as it applies to information handled through the Site, govern your use of the Site. These Terms supersede prior understandings regarding use of the Site, but do not supersede or modify the Privacy Policy or any separate written agreement between you and Marabou Midstream.
